Terms. Welcome to our website (“Site”). These terms and conditions of use (“Terms”) constitute a legal agreement between you and LiveNeutral (“LiveNeutral”). This Site is operated by LiveNeutral. We reserve the right to change these Terms, the Content displayed on this Site, any license or product prices contained on the Site and any information or license terms without prior notice. These Terms set out the entire agreement between LiveNeutral and you relating to your use of this Site. If you breach any of these Terms, your authorization to use this Site automatically terminates. LiveNeutral may make changes to the materials and services at this Site, or to the products and prices described in them, at any time without notice. The materials and services at this Site may be out of date, and LiveNeutral makes no commitment to update the materials and services at this Site. Information published at this Site may refer to products, programs or services that are not available in your country.

Content. All of the content featured or displayed on this Site, including, but not limited to, text, graphics, photographs, images, moving images, sound, illustrations and software (“Content”), is owned by LiveNeutral, its licensors or its third-party partners.

Copyrights. All materials contained in the Site are the copyrighted property of LiveNeutral or its co-branding partner, American Electric Power (AEP), its subsidiaries, affiliated companies and/or third-party licensors. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Site without written permission from LiveNeutral. User submissions. LiveNeutral does not want to receive confidential or proprietary information from you through this Site. Any material, information or other communication (“Communications”) you transmit or post to this Site will be considered non-confidential and non-proprietary, except as may be required by LiveNeutrals privacy policy.

Accounts. A user account is required to access the Site and may be accessed and used only by those authorized individuals who are registered with LiveNeutral. To open a user account, you must complete the registration process by providing LiveNeutral with current, complete and accurate information as prompted by the registration form. In registering for the Site, you agree to submit accurate, current and complete information about you and promptly update such information. If you provide any information that is false, inaccurate, out of date, or incomplete, or LiveNeutral has reasonable grounds to suspect that such information is false, inaccurate, out of date, or incomplete, LiveNeutral may suspend or terminate your account and refuse any and all current or future use of the services or any portion thereof.

Inactivity. If user does not access his or her account for a period of 120 days or more, LiveNeutral may (in its own discretion) remove and/or purge user’s account from the system. At its own discretion, LiveNeutral may make at least two attempts, at least 15 days prior to deletion, to alert user of the pending deletion via his/her provided e-mail address.

Credit Cards. Your authorized credit card will automatically be charged on the day you sign up for the Site, or the expiration of the initial trial period, if any, whichever is later. Thereafter, the fees will automatically be charged to your authorized credit card, in advance, on the date of the month you originally signed up for the Site. Your LiveNeutral account will be considered delinquent if your credit card company refuses for any reason to pay the amount billed to it and that amount remains unpaid at the beginning of the next accounting cycle. User’s access to the Site may be suspended, archived or purged from the system if User’s account is delinquent for more than one billing cycle.

Advertisers. Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Site, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that LiveNeutral will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Site.

Personal Information. Personally identifiable information that you submit to LiveNeutral for the purpose of receiving products or services will be handled in accordance with the LiveNeutral online privacy statement. Disclaimers. THIS SITE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY.

Limitation of liability. IN NO EVENT WILL DRIVENEUTRAL, ITS SUPPLIERS, OR OTHER THIRD PARTIES MENTIONED AT THIS SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THIS SITE, ANY WEBSITES LINKED TO THIS SITE, OR THE MATERIALS OR INFORMATION OR SERVICES CONTAINED AT ANY OR ALL SUCH SITES, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT DRIVENEUTRAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Links to third-party Websites. Links on this Site to third-party websites are provided solely as a convenience to you. If you use these links, you will leave this Site. LiveNeutral has not reviewed all of these third-party sites and does not control and is not responsible for any of these sites or their content. Thus, LiveNeutral does not endorse or make any representations about them, or any information, software or other products or materials found there, or any results that may be obtained from using them. If you decide to access any of the third-party websites linked to this Site, you do this entirely at your own risk.

Linking to this Site. You may create links to this Site from other sites, but only in compliance with all applicable laws. A site that links to LiveNeutral’s website:

• Should not create a browser or border environment around LiveNeutral content;
• Should not imply that LiveNeutral is endorsing it or its products;

Nothing contained on the Site should be construed as granting by implication, estoppel or otherwise, any license or right to use any Trademark displayed on the Site without the written permission of its respective owner.

Confidentiality. You are entirely responsible for maintaining the confidentiality of your password and account and for all activities that occur under your account. You agree to notify LiveNeutral immediately of any unauthorized use of your account or any other breach of security. LiveNeutral will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge.

Termination. LiveNeutral, in its sole discretion, may terminate your password, account or use of the Site and remove and discard any data within the Site if you fail to comply with this Agreement. You may terminate your user account upon notice to LiveNeutral at any time.

Disclaimer of Warranties. LIVENEUTRAL MAKES NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, TRUTH, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE SERVICE OR ANY CONTENT. DRIVENEUTRAL DOES NOT REPRESENT OR WARRANT THAT: (I) THE USE OF THE SERVICE WILL BE TIMELY, UNINTERRUPTED OR ERROR-FREE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA, (II) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (III) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (IV) ERRORS OR DEFECTS WILL BE CORRECTED, (V) THE SERVICE OR THE SERVER THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IN NO EVENT WILL DRIVENEUTRAL BE LIABLE TO ANYONE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THIS SERVICE, INCLUDING BUT NOT LIMITED TO YOUR USE OR INABILITY TO USE THE SERVICE, OR FOR ANY CONTENT OBTAINED FROM OR THROUGH THE SERVICE, EVEN IF LIVENEUTRAL HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Laws. LiveNeutral controls and operates this Site from its location in the United States of America. LiveNeutral makes no representation that the Site is appropriate or available for use in other locations. If you use the Site from outside the United States of America, you are solely responsible for compliance with all applicable laws.

Relationship. No joint venture, partnership, employment, or agency relationship exists between you and LiveNeutral as a result of this agreement or use of the Site.

LiveNeutral has the right to assign any or all of its rights and obligations under this Agreement at any time.

Venue & Governing Law. LiveNeutral administers this Site from its offices in San Francisco, California. Venue for all disputes arising under this Agreement will lie exclusively in the Courts of the State of California in San Francisco County. These Terms will be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of laws.

Amendments & Waivers. No action of LiveNeutral, other than an express written waiver or amendment, may be construed as a waiver or amendment of any of these Terms.

Severability. If any clause in these Terms is found to be unenforceable, wherever possible, this will not affect any other clause and each will remain in full force and effect.
